These Terms & Conditions (“Terms”) govern your access to and use of Exametics (the “Platform”), including the website at staging.exametics.com, any associated applications, practice tests, mock examinations, question banks and related products and services (collectively, the “Services”).

Exametics is a brand owned and operated by Gururo Private Limited, a private limited company incorporated under the laws of India and having its registered/corporate office at Level 6, North Tower, ITC Green Centre, Marutiseva Nagar, Banaswadi Main Road, Bengaluru 560005, Karnataka, India (“Exametics”, “we”, “us” or “our”). References to “Exametics” in these Terms mean Gururo Private Limited operating under the Exametics brand.

1. Acceptance of these Terms

These Terms, together with the policies referenced in them (including our Privacy Policy and Refund Policy), form a binding contract between you and Exametics. You indicate your agreement to these Terms by creating an account, by clicking or tapping a button indicating acceptance, or by accessing or using the Services in any way. If you do not agree to these Terms, you must not use the Services.

Some Services may be software downloaded to your device; you agree that we may update such software automatically and that these Terms apply to those updates. These Terms also extend to Exametics-hosted communications and social channels (email, SMS, phone, WhatsApp groups, and social-media pages), which are deemed part of the Platform by reference. Certain of these are operated by third-party providers whose own terms also apply, and Exametics is not responsible for disruptions caused by those providers.

2. Eligibility and Accounts

You may browse certain parts of the Platform without registering, but to purchase or access most Services you must create a password-protected account (“Account”). You must be at least 18 years of age, or the age of majority in your jurisdiction, to make a purchase; where a minor uses the Services, they must do so only with the involvement and consent of a parent or legal guardian who accepts these Terms.

During registration you may be asked to provide personal information such as your name, email, phone number and location. You agree that all information you provide on registration and thereafter is true, accurate, current and complete, and that you will keep it updated. By sharing your email address and phone number, you consent to be contacted by us via phone, SMS, email, mobile application or other electronic means regarding events, product updates and deadlines.

You are solely responsible for safeguarding your password and for all activity that occurs under your Account. You must notify us immediately at [email protected] of any unauthorised use or security breach. You must not use another person’s Account, share your Account, or misrepresent your identity. You expressly acknowledge that you will be liable for losses, damages and expenses (whether direct or indirect) caused by unauthorised use of your Account.

3. The Services

Exametics provides online practice tests, mock examinations, question banks, answer explanations and related study materials to help candidates prepare for professional and information-technology certification examinations. The Services are preparation aids only. We are constantly improving the Services and may add, change, suspend or remove features, content or requirements, or discontinue a Service, at any time.

Access to paid practice materials is currently offered on a one-time purchase basis, granting access for the period stated at the point of sale. If we introduce subscription or auto-renewing plans in future, additional terms (including renewal, billing and cancellation terms) will apply and will be presented to you before purchase.

4. Our Content and Your Licence to Use It

All practice questions, mock examinations, answer explanations, study materials, text, graphics, logos, software and other content made available through the Services (“Exametics Content”) are owned by Exametics or its licensors and are protected by copyright, trademark and other laws.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Exametics Content solely for your own personal, non-commercial exam preparation. You must not:

  • copy, reproduce, record, screenshot, scrape, harvest, republish, distribute, sell, resell, rent, sub-licence or publicly display any Exametics Content;
  • share your Account or any Exametics Content with any other person;
  • use any Exametics Content to build, train, populate or improve any competing product, question bank, dataset or machine-learning model; or
  • remove or obscure any copyright, trademark or other proprietary notice.

This licence ends automatically if you breach these Terms. All rights not expressly granted are reserved by Exametics.

5. Independence from Certification Bodies

Exametics is an independent exam-preparation provider and is not affiliated with, or endorsed by, any certification body or examination authority. All third-party names, certifications, logos and trademarks referred to on the Platform are the property of their respective owners and are used for identification and descriptive purposes only.

6. User Content

The Services may enable you to submit content such as practice attempts, forum posts, comments and other materials (“User Content”). You retain the intellectual-property rights in your User Content and are responsible for it. You must not use another user’s User Content without their consent.

To the extent you provide User Content, you grant Exametics a worldwide, royalty-free, transferable, sub-licensable, non-exclusive licence to host, store, copy, modify, create derivative works from, publicly display and otherwise use that User Content for the purpose of operating, providing and improving the Services. This licence continues after you stop using the Services with respect to User Content you have already shared. We may remove or modify User Content that we reasonably believe violates these Terms.

7. Feedback

If you send us suggestions, ideas or other feedback about the Services (“Feedback”), you grant us the right to use it without restriction and without compensation to you. We may use similar or related feedback previously known to us or developed independently.

8. Purchases, Pricing and Offers

Prices for paid Services are stated on the Platform and may change from time to time. Applicable taxes may be added at checkout. Once you have completed a purchase and made the required payment, the purchase is final, subject to any rights you may have under our separate Refund Policy, which is incorporated into these Terms by reference.

All offers, coupons and discounts must be applied by you at the time of purchase. Discounts and offers cannot be claimed or applied retrospectively. Please review your cart and apply any applicable offer before completing payment.

9. Acceptable Use

You agree to comply with all applicable laws when using the Services and not to misuse the Platform. You must not:

  • upload, request, share or distribute actual live or leaked examination questions, or any content obtained in breach of a certification body’s rules or examination agreement (including “brain-dump” material). Exametics provides original practice material and does not condone such use;
  • share content that is unlawful, harmful to a child, threatening, harassing, defamatory, obscene, hateful, or that infringes the intellectual-property, privacy or other rights of others;
  • post content that is false or misleading, or that deceives others about its origin;
  • reproduce, transfer, sell, resell or otherwise misuse any content from the Services unless expressly authorised;
  • access non-public areas of our systems, or break, circumvent or test our authentication or security measures, without authorisation;
  • reverse engineer any part of the Services, or use bots, scrapers or other automated means to access or extract content;
  • introduce any virus or malicious code, or interfere with or overload the Services or any network;
  • impersonate any person or misrepresent your affiliation; or
  • encourage or help anyone to do any of the above.

10. Security

We care about the security of our users and work to protect your Account and related information. However, we cannot guarantee that unauthorised third parties will never defeat our security measures. Please notify us immediately of any compromise or unauthorised use of your Account.

11. Third-Party Content and Links

The Services may provide access to content, websites and services maintained by third parties. We do not control and are not responsible for such third-party content, and we disclaim liability related to your access to or use of it. We do not have any principal-agent or employer-employee relationship with any third party referenced on the Platform.

12. Disclaimers

The Services and all included content are provided on an “as is” and “as available” basis, without warranty of any kind, whether express or implied. To the maximum extent permitted by law, we disclaim all warranties and conditions of merchantability, fitness for a particular purpose and non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that use of the Services will result in your passing any examination or achieving any certification. Your access to and use of the Services is at your own risk.

13. Limitation of Liability

To the maximum extent permitted by law, Exametics and its directors, officers, employees, contributors, partners and agents (the “Exametics Parties”) shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenues, data, goodwill or other intangible losses, arising from (a) your use of or inability to use the Services; (b) any conduct or content of any third party; (c) unauthorised access to or alteration of your content or information; or (d) these Terms.

To the maximum extent permitted by law, the total aggregate liability of the Exametics Parties for all claims relating to the Services shall not exceed the greater of (i) the total fees you paid to Exametics for the Services in the twelve (12) months preceding the event giving rise to the claim, or (ii) one thousand Indian Rupees (₹1,000).

You acknowledge that these disclaimers and limitations reflect a reasonable allocation of risk and are an essential basis of our ability to offer the Services. You agree that any cause of action relating to the Services must commence within one (1) year after it accrues; otherwise it is permanently barred.

14. Indemnification

You agree to indemnify, defend and hold harmless the Exametics Parties from any claims, liabilities, expenses and damages (including reasonable legal fees) arising from (a) your use or attempted use of the Services in violation of these Terms; (b) your violation of any law or the rights of any third party; or (c) your User Content, including any claim of infringement or misappropriation of intellectual-property or other rights.

15. Intellectual-Property Complaints

We respect intellectual-property rights and expect users to do the same. If you believe in good faith that content on the Services infringes your copyright or trademark, please email [email protected] with: (a) your signature (physical or electronic) as the rights-holder or authorised agent; (b) identification of the work claimed to be infringed; (c) identification of the allegedly infringing material and its location on the Services; (d) your name, address, telephone number and email; (e) a statement of your good-faith belief that the use is not authorised; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorised to act. We may remove infringing content and take other appropriate action. We suggest you consult a legal advisor before filing, and note there can be penalties for false claims.

16. Privacy

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference and describes how we collect and process your personal data. By using the Services, you consent to that processing and confirm that the data you provide is accurate.

17. Termination

We may suspend or terminate your access to the Services at any time, including if we reasonably believe you have violated these Terms, our policies or applicable law, and we may take further action including legal recourse and removal of non-compliant content. You may stop using the Services at any time. Provisions that by their nature should survive termination (including intellectual-property, disclaimers, limitation of liability, indemnification and governing law) will survive.

18. Governing Law, Jurisdiction and Dispute Resolution

The Services are managed by Exametics from Bengaluru, India. These Terms are governed by the laws of the State of Karnataka, India, excluding its conflict-of-law rules. Subject to the arbitration provision below, you consent to the exclusive jurisdiction and venue of the courts located in Bengaluru, Karnataka.

Excluding claims for injunctive or equitable relief, either party may elect to resolve a dispute through binding, non-appearance-based arbitration using an established alternative-dispute-resolution provider mutually agreed by the parties, conducted online, by telephone or by written submissions. Any award may be entered in any court of competent jurisdiction.

19. Force Majeure

Neither party will be liable for any delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including fires, floods, earthquakes, strikes, unavailability of utilities, blackouts, acts of God, war, acts of regulatory authorities or national disasters.

20. Changes to these Terms

We may revise these Terms at our discretion at any time. Revisions are effective upon posting. Your continued use of the Services after changes are posted, with or without notice, constitutes acceptance of the revised Terms.

21. Severability and Waiver

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. Our failure to act on any breach does not waive our right to act on it or any future breach.
